There are many reasons why most business sellers wish to maintain
confidentiality. Some of the reasons why it is important to maintain
confidentiality are as follows:
- Employees will become concerned about their job security which may result in employees looking for employment elsewhere.
- Potential clients will hesitate to do business with a business that is for sale. Some people perceive a business for sale as a “bad sign”. This may negatively affect sales.
- The business seller does not wish to deal with constant telephone or “drop in” inquiries about their business for sale.
- The potential business buyer will become privy to proprietary information about the business that should remain confidential.
- The business may remain on the market for longer than expected. Some potential buyers will assume that if the business hasn’t sold that it must be flawed. It could simply be that there have been no qualified buyers up to date, however, potential buyers may perceive it differently. This may drive the value of the business down or make it difficult to sell at all.
